M&A Financial Associate, Corporate Development

ICF, a publicly-traded (NASDAQ: ICFI) global consulting firm, is seeking an M&A Financial Associate in the Corporate Development group to help support the execution of the company’s Merger & Acquisition efforts. This highly-visible position, can be based at our corporate headquarters in Fairfax, VA or remotely for those willing and able to travel along the Northeast or Mid-Atlantic corridors, will report to the Senior Director of M&A and work closely with the Senior Vice President of Corporate Development and the company C-suite.  

 Overall Responsibilities:

  • Develop, track and maintain a proactive acquisition pipeline including engagement with governance meetings with business unit leadership and teams.

  • Play an integral role in large-scale, Corporate-led transactions, leading target analysis, business case development, executive-level presentations, and overall transaction execution.

  • Support Corporate Development processes including pipeline, due diligence, valuation/financial modeling, bid negotiations, contractual points with advisors and coordinating deal process with function heads and related parties including the Business Unit Leadership Team and C-Suite.

Detailed Responsibilities:

  • Assist in planning of and preparation for M&A pipeline, including building out M&A target profiles and developing presentations for meetings with business leaders, bankers and targets

  • Liaise with investment bankers, attorneys and internal stakeholders regarding new M&A opportunities

  • Assist in conducting preliminary financial and other due diligence on M&A targets, including identification of associated risks

  • Build detailed valuation models, including accretion/dilution, discounted cash flow, internal rate of return, return on invested capital, and weighted average cost of capital analysis. This includes assessment of comparable company trading multiples, research precedent transaction multiples and build / maintain proprietary internal deal intelligence database

  • Build bottom-up operating model based on a contract-by-contract/client basis as well as work with business units to identify potential synergies

  • Facilitate and manage the execution of all M&A related agreements (e.g., non-disclosure agreements, indications of interest, letters of intent, exclusivity agreements, purchase agreements, etc.)

  • Communication - Lead or assist with the creation of all phases of a business case (market analysis, strategic fit, economic models) and the communication of these components to all internal stakeholders

  • Assist tracking and maintaining strategic and operational relationships with third-party Investment Banking firms, due diligence advisors, and potential targets

  • Assist in conducting integration assessments and planning and support M&A Post-Mortems - documenting lessons learned to ensure process enhancements

  • Prepare weekly summary of corporate development activities for internal team meetings

  • Prepare other memorandums, presentations and other materials fit for executives

  • Organize and manage special projects as required

Qualifications/Skills/Experience:

  • Bachelor's Degree in Business, Finance, Accounting, Economics or related course of study required

  • 2+ years of experience in finance/accounting within Corporate development, transaction services, valuation practice or investment banking required

  • Strong understanding of valuation methodologies and corporate finance theory (e.g., NPV, DCF, IRR, WACC, ROIC, accretion/dilution, precedent transaction multiples, trading multiples, etc.)

  • Proven analytical, project management, and organizational skills with strong written and verbal communication skills required

  • Exceptional presentation skills and the demonstrated ability to interact effectively with all levels of the organization and externally (inclusive or C-Suite executives)

  • Business Acumen - Exercises strong analytical judgement in understanding the Merits of a Deal including any contractual risks

  • Prior experience in professional services/consulting, technology or marketing services sector a plus

  • Absolute fluency with financial statements and financial statement analysis

  • Ability to work in a fast-paced, collaborative and entrepreneurial environment, at the most senior level of organizations, and be able to prioritize and push forward multiple initiatives simultaneously while taking direction from multiple team members

  • Unwavering work ethic, willingness to roll up sleeves, ability to do whatever is required to push things forward– including putting in longer hours to drive things to successful completion as business needs dictate

  • If not based near Fairfax, must have a willingness to travel as needed, especially for live presentations or team related activities and huddles (once travel restrictions are lifted)
